WESTLAKE TOWN CRIERS CONSTITUTION AND BY-LAWS
RATIFIED BY MEMBERSHIP AFTER READINGS ON 12/17/01 AND 1/07/02.
EFFECTIVE JANUARY 1,2002
CONSTITUTION
ARTICLE 1
Section A.
The name of this organization shall be Westlake Town Criers, Inc.
ARTICLE 2
Section A.
The objects of this organization are:
1. To form a body of men in thoroughly representative of civic, business and professional interests united together in the closest bonds of good fellowship.
2. To unite its members in the closest bonds of good fellowship and to promote a closer union among them; to carry on activities so that members may be of mutual assistance to one another; to aid and assist worthy causes within the City of Westlake, Ohio, or other areas deemed advisable by this organization, so as to provide the medium of obtaining benefits and advantages as a non-profit organization which will accrue to the citizens and schools, benefit civic and community organizations within the City of Westlake, Ohio, and other areas deemed advisable by this organization, and to provide social activities for the accommodation, convenience and entertainment of its members.
ARTICLE 3 MEMBERSHIP QUALIFICATIONS
Section A.
Any adult male person of good moral character and good standing in his community.
Section B.
Before an applicant may be accepted to membership, the applicant's name must be read in at least one regular meeting of organization.
ARTICLE 4 DUES AND FEES
Section A.
Dues shall be paid annually and shall be payable, in advance, provided however, that persons elected to membership during quarterly periods shall pay such dues, if any, from time of election to membership until the next following dues paying period. Amount of dues shall be determined at any regular meeting of membership with a quorum by an affirmative vote of the majority of members present at two (2) regularly scheduled consecutive meetins.
ARTICLE 5 DELINQUENCY AND FORFEITURE OF MEMBERSHIP
Section A.
Any member who neglects the payment of his dues as provided in Article 4, shall be dropped from the membership roster if dues are not paid within 90 days from due date.
Section B.
Any member may be expelled for cause from the organization's membership by a 75% vote of the members of the organization present at any regular meeting.
ARTICLE 6 RESIGNATION AND REINSTATEMENT
Section A.
Resignation of any member shall become effective upon written notice to the President of Secretary.
Section B.
Request for reinstatement shall be made in writing or in person and it shall require a 75% vote of the members of the organization present at any regular meeting.
Section C.
Reinstatement must be concurrent with payment of delinquent dues if applicant was dropped due to non-payment of dues.
ARTICLE 7 OFFICERS
Section A.
The officers of this organization shall be as follows: A president, Vice-President, Second Vice-President (Bell Ringer), Recording Secretary, Corresponding Secretary, Treasurer, Historian, Parliamentarian.
Section B.
The two immediate past presidents, the president, and two elected trustees shall constitute the Board of Trustees. If past presidents are unable or unwilling to serve, elections from general membership, shall be held to choose a replacement.
Section C.
Three Trustees shall constitute a quorum at any regular meeting of the Board of Trustees.
ARTICLE 8 TERM OF OFFICE AND ELECTIONS
Section A.
The term of office for all officers shall be one year commencing on January 1st of each year.
Section B.
Nominations for all officers shall be made by a nominating committee appointed by the President, with their nomination being read at the first regular meeting in December. Nominees shall be approached as to their willingness to accept office. This report may be supplemented by nominations from the floor at the first or second meeting in December.
Section C.
Elections shall be held the second regular meeting in December.
Section D.
Upon a majority vote no officer shall be re-elected to the same office for more than two consecutive terms except treasurer.
Section E.
Elections shall be (by secret) ballot and the person receiving the majority of the vote's cast shall be considered elected.
Section F.
The Corresponding Secretary shall serve written notice to the membership regarding the date of elections.
ARTICLE 9
Section A.
No officer shall receive any compensation for any service rendered this organization.
ARTICLE 10
Section A.
This organization shall hold regular meetings on the first and third Monday of each month at 8:00 pm.
Section B.
During the months of June, July and August, month, which will be on the first meetings will be held based on a vote of the majority of membership present at a regularly scheduled meeting. Emergency or Special Meetings may be called at the discretion of the President.
Section C.
The regular meetings shall terminate by 9:30 p.m. with a warning notice by the President at 9:15 p.m.
Section D.
An attendance of 33-1/3% of the total member ship in good standing shall be necessary for a quorum at any regular meeting.
ARTICLE 11 POLICIES
This organization shall at no time endorse or recommend any candidate for political office, nor shall any religious discussions be tolerated.
ARTICLE 12 COMMITTEES
Section A.
The committees shall be appointed by the President at his discretion.
Section B.
The President shall be ex-officio member of all committees.
Section C.
Each committee shall consist of a chairman, and as many members as shall be considered necessary by the President.
ARTICLE 13 AMENDMENTS.
Section A.
All articles of the Constitution may be amended by submitting in writing the proposed amendment to the membership, and upon an affirmative vote of the majority of a quorum present, the proposed amendment shall become part of the Constitution.
Section B.
In absence of Special Rules in this Constitution, Robert Rules of Order shall dominate.
BY-LAWS
ARTICLES 1,2,3 AND 4
These Articles of the Constitution are self-explanatory and, therefore, By-Laws for these Articles are omitted.
ARTICLE 5 MEMBERSHIP
A. The treasurer shall submit to the Board of Trustees the name of any member who refuses or neglects to pay and indebtedness due, other than dues, the Club after formal notice. The Board shall decide definitely within thirty (30) days thereafter whether the member shall be dropped on the roster.
ARTICLE 6 RESIGNATION
A. Resignation of any member shall become effective upon written notice to the President or Secretary of the Club, provided all dues to date of resignation have been paid.
ARTICLE 7 OFFICERS
A. The officers of this Club shall be a President, Vice-President, Second Vice-President (Bell Ringer), Recording Secretary, Corresponding Secretary, Treasurer, Historian and Parliamentarian. In addition to the Officers, there shall be three Trustees and the Trustees shall constitute the Board of Trustees, the President being an ex-officio member, voting in case of a tie.
B. Three Trustees shall constitute a quorum at any meeting of the Board.
C. The President shall be the chief executive officer, of the Club. He shall preside at all meetings and shall be chairman of the Board of Trustees. He shall issue the call for regular monthly and special Board Meetings. He shall appoint the standing administrative and activities committees, and shall act as an ex-officio member of each of these committees. He shall see that these committees function and shall co-operate with the committee chairman toward the end. He shall call for regular committee reports. He shall see that regular elections are held.
D. If for any reason the President is unable to perform his duties, the Vice-President may occupy his position and perform his duties, having the full duties of the President.
